These Terms & Conditions (“Terms”) govern your use of the So Local & Co. Ltd subscription service. By subscribing to or using our service, you agree to these Terms.

1. Who we are

So Local & Co. Ltd (“we”, “our”, “us”) is a company registered in England and Wales (Company Number 16642172). Our registered office is at [Insert Registered Office Address].

We provide a subscription-based service connecting members with independent businesses in Southbourne and surrounding areas, offering access to promotions and perks.

2. Our service

•       Subscribers pay a monthly fee to access members-only promotions from participating businesses.

•       Promotions are provided directly by participating businesses. We act only as the connecting platform and are not a party to the contract between you and the business.

•       Businesses may set their own conditions on promotions (e.g. days of the week, “new customers only”, limited slots).

•       Promotions are subject to change, availability, and withdrawal at any time by the businesses.

3. Membership and payment

•       The subscription fee is £5.99 per month, payable in advance via Stripe.

•       Subscriptions automatically renew each month unless cancelled.

•       Statutory cancellation right: You have the right to cancel your subscription within 14 days of first subscribing, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you requested access to begin immediately, we may make a proportionate deduction for the services provided up to the point of cancellation.

•       Ongoing cancellation: After the 14-day period, you may cancel your subscription at any time. Access will continue until the end of your current billing period, and no further payments will be taken. Refunds will not normally be given after the statutory cancellation period has expired.

•       Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.

4. Using your membership

•       Members receive a unique digital membership pass and monthly code.

•       To redeem a promotion, you must show your pass and the current month’s code at the participating business.

•       Membership is personal and non-transferable.

5. Partner businesses

•       We are not responsible for the quality, safety, or delivery of goods or services provided by partner businesses.

•       Any issues with a promotion should be raised directly with the business.

•       We welcome feedback and may review a business’s participation if complaints are received.

6. Our responsibilities and liability

We will:

•       Provide access to participating businesses’ promotions through our platform.

•       Communicate with you about new or updated promotions.

•       Take reasonable steps to ensure accuracy of information supplied by businesses.

We are not liable for:

•       Loss, damage, or dissatisfaction arising from products or services you receive from businesses;

•       Temporary interruptions or errors in our service;

•       Any indirect or consequential losses.

Our total liability to you is limited to the total subscription fees paid in the 12 months before a claim.

(Liability restrictions must comply with the Consumer Rights Act 2015, which prevents exclusion of liability for death, personal injury, or statutory rights.)

7. Your responsibilities

You agree to:

•       Provide accurate information when subscribing;

•       Use your membership in good faith and not misuse codes or passes;

•       Comply with conditions set by partner businesses.

8. Charity contributions

From each active subscription, we set aside £1 per month to donate to local charities. The chosen charities may change from time to time, and details will be published on our website.

9. Cancelling or suspending our service

We may suspend or cancel your membership if:

•       You breach these Terms;

•       Fraudulent or abusive use of membership is suspected; or

•       We discontinue the service (in which case you will be notified, and no further payments will be taken).

10. Changes to these Terms

We may update these Terms from time to time. The latest version will always be available on our website. If changes are significant, we will notify subscribers by email.

11. Governing law

These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
